Qiyadon is a B2B pipeline execution service provider. For the purposes of this Ownership Statement and all client engagements:
Qiyadon is the counterparty to all Client Service Agreements and the provider of all pipeline execution services described herein.
All content, materials, data, leads, pipeline information, CRM access, messaging guidelines, and escalation rules provided by the client to Qiyadon for the purpose of delivering contracted services ("Client Materials") remain the exclusive property of the client. Qiyadon is granted a limited, revocable license to use Client Materials solely for the purpose of delivering the contracted pipeline execution services during the engagement period.
Client Materials are treated as confidential and are not shared with any other client or third party, except as necessary to deliver the contracted services (e.g., CRM platform access for outreach purposes).
All follow-up message templates, sequences, scripts, outreach strategies, and process frameworks developed by Qiyadon in the course of delivering services ("Qiyadon Methods") remain the intellectual property of Qiyadon. Clients are granted a limited license to use Qiyadon Methods solely in connection with the contracted services during the engagement period. Clients may not reproduce, resell, or sublicense Qiyadon Methods.
Where Qiyadon and the client jointly create content, materials, or deliverables under the engagement, ownership of such jointly created works is governed by the Client Service Agreement. In the absence of specific provisions, jointly created works are owned jointly, with each party free to use them independently.
3.1 IP Transfer to Client: Custom deliverables specifically created for the client — including bespoke pipeline reports, lead analyses, and client-specific execution strategies — transfer to the client's ownership upon full payment and acceptance of those deliverables.
3.2 Qiyadon IP Retention: Qiyadon retains ownership of all methodologies, frameworks, tools, templates, and general know-how developed or used in delivering services, even when applied to or customized for a specific client. The client receives a license to use Qiyadon-retained IP in connection with the services only.
3.3 No Sublicensing: Clients may not sublicense, sell, transfer, or make available Qiyadon Methods or any Qiyadon-retained IP to any third party.
3.4 Derivative Works: Any derivative works, modifications, or extensions of Qiyadon Methods created by the client are subject to the same ownership terms as the original Qiyadon Methods and may not be exploited independently of the contracted services.
4.1 Client Pipeline Data: All pipeline data, lead information, contact records, engagement history, and associated metrics generated or processed during the delivery of services ("Pipeline Data") are and remain the exclusive property of the client. Qiyadon does not claim ownership of any Pipeline Data.
4.2 Data Access on Termination: Upon engagement termination, clients have the right to export all Pipeline Data in a standard, machine-readable format within 10 business days of a formal data export request submitted to contact@qiyadon.com.
4.3 Data Retention After Termination: Following termination, Qiyadon retains Pipeline Data for a period not exceeding 90 days, after which it is securely deleted from all Qiyadon systems and backup infrastructure. Clients may request earlier deletion by submitting a written request to contact@qiyadon.com.
4.4 Anonymized Data: Qiyadon may retain anonymized, aggregated operational data for service improvement purposes. Such data cannot be linked to any specific client or individual and does not constitute Pipeline Data under this policy.
5.1 Reports and Analyses: Weekly pipeline reports, lead scoring analyses, pipeline health assessments, and any written deliverables produced by Qiyadon under the engagement become the client's property upon delivery and acceptance, subject to full payment.
5.2 Execution Strategies: Follow-up strategies, sequence architectures, and escalation frameworks designed specifically for the client transfer to the client upon full payment. General Qiyadon methodologies used to construct those strategies remain Qiyadon's property.
5.3 CRM Configuration: Any CRM configurations, pipeline views, dashboards, or custom fields created by Qiyadon for the client's account are the client's property. Qiyadon will provide reasonable assistance in CRM handover during the transition period following termination.
5.4 Message Templates: Custom message templates written specifically for the client transfer to the client. Qiyadon-retained templates and general-purpose sequences remain Qiyadon's property and may continue to be used by Qiyadon for other clients.
6.1 Mutual Confidentiality: Both Qiyadon and the client agree to protect the confidential information of the other party. Confidential information includes but is not limited to: pricing, client lists, lead data, business strategies, proprietary tools, and operational processes.
6.2 Confidentiality Survival: Confidentiality obligations survive for 3 years following the termination of the engagement, unless a different period is specified in the signed Client Service Agreement.
6.3 Required Disclosure: Neither party is obligated to protect information that: (a) was already known to the receiving party prior to disclosure; (b) becomes publicly available through no fault of the receiving party; (c) is independently developed by the receiving party without use of the disclosing party's information; or (d) is required to be disclosed by law, regulation, or court order, provided the receiving party gives prompt notice to the disclosing party where permitted.
6.4 NDA Provisions: The mutual non-disclosure obligations set forth in this Ownership Statement constitute a bilateral confidentiality agreement and are incorporated by reference into the Client Service Agreement.

This Ownership Statement may be updated by Qiyadon with 14 days' written notice to existing clients. Material changes will be communicated via email to the authorized contact on record. Continued engagement with Qiyadon services after the effective date of any changes constitutes acceptance of the revised statement.
