Qiyadon provides autonomous accounts-payable and accounts-receivable processing services for founder-led SMBs. For the purposes of this Ownership Statement and all client engagements:
Qiyadon is the counterparty to all Client Service Agreements and the provider of all AP/AR processing services described herein.
All invoices, vendor and customer records, financial data, ERPNext access, and automation configuration provided by the client to Qiyadon for the purpose of delivering contracted services ("Client Financial Data") remain the exclusive property of the client. Qiyadon is granted a limited, revocable license to use Client Financial Data solely for the purpose of delivering the contracted AP/AR processing services during the engagement period.
Client Financial Data is treated as confidential and is not shared with any other client or third party, except as necessary to deliver the contracted services (e.g., ERPNext integration for invoice processing).
All automation logic, matching rules, anomaly-detection methods, and process frameworks developed by Qiyadon in the course of delivering services ("Qiyadon Methods") remain the intellectual property of Qiyadon. Clients are granted a limited license to use Qiyadon Methods solely in connection with the contracted services during the engagement period, and may not reproduce, resell, or sublicense them.
3.1 IP Transfer to Client: Custom deliverables created specifically for the client -- including bespoke reports or client-specific processing configurations -- transfer to the client's ownership upon full payment and acceptance of those deliverables.
3.2 Qiyadon IP Retention: Qiyadon retains ownership of all methodologies, frameworks, tools, and general know-how developed or used in delivering services, even when applied to or customized for a specific client. The client receives a license to use Qiyadon-retained IP in connection with the services only.
3.3 No Sublicensing: Clients may not sublicense, sell, transfer, or make available Qiyadon Methods or any Qiyadon-retained IP to any third party.
4.1 Client Financial Data: All invoice, payment, and account records generated or processed during the delivery of services remain the exclusive property of the client. Qiyadon does not claim ownership of any Client Financial Data.
4.2 Data Access on Termination: Upon engagement termination, clients have the right to export all Client Financial Data in a standard, machine-readable format within 10 business days of a formal export request submitted to contact@qiyadon.com.
4.3 Data Retention After Termination: Following termination, Qiyadon retains Client Financial Data for a period not exceeding 90 days, after which it is securely deleted from all Qiyadon systems and backups. Clients may request earlier deletion at any time.
4.4 Anonymized Data: Qiyadon may retain anonymized, aggregated operational data for service improvement purposes. Such data cannot be linked to any specific client and does not constitute Client Financial Data under this policy.
Both Qiyadon and the client agree to protect the confidential information of the other party, including pricing, financial records, business strategies, and proprietary tools. These confidentiality obligations survive for 3 years following termination of the engagement, unless a different period is specified in the signed Client Service Agreement. Neither party is obligated to protect information that was already known, becomes public through no fault of the receiving party, is independently developed, or is required to be disclosed by law.

This Ownership Statement may be updated by Qiyadon with 14 days' written notice to existing clients. Continued engagement after the effective date of any changes constitutes acceptance of the revised statement.
